IN THE EVENT OF NON-COMPLIANCE WITH THIS TERMSOF USE, DEAL ONLINE HAS THE RIGHT TO LIMIT OR TERMINATE YOUR ACCESS OR USAGE RIGHTSTO THE PLATFORM IMMEDIATELY OR REMOVE NON-COMPLIANT INFORMATION OR BOTH AS THECASE MAY BE ,IN ACCORDANCE WITH THE INFORMATION TECHNOLOGY (INTERMEDIARYGUIDELINES AND DIGITAL MEDIA ETHICS CODE) RULES, 2021. BY USING THE DEAL ONLINEPLATFORM AND ACCESSING OUR SERVICES, YOU INDICATE YOUR UNDERSTANDING ANDAGREEMENT TO BE BOUND BY THE TERMS STATED UNDER TERMSOF USE. IF YOU DO NOT AGREE TO THESE TERMS YOU MAY NOT USE THEPLATFORM AND THE SERVICES.

I. ACCEPTANCE

DEAL ONLINE India B.V. and itsaffiliates and/or branches (hereinafter together "DEAL ONLINE") providea collection of online resources which include classified advertisements(collectively, the "Service") on the website .deal-online.in and corresponding and the mobileapplication of the platform (collectively, the "Platform"). ThePlatform and the Service are provided to you subject to these DEAL ONLINE Termsof Use (these "Terms"). For the purpose of the Terms and wherever thecontext so requires, the terms "you" and "your" shall meanany person who uses or accesses, whether through manual or automated means, thePlatform or the Service in any manner whatsoever including persons browsing thePlatform and its content, posting comments or any content or responding to anyadvertisements or content on the Platform. By using the Service, you agree tocomply with these Terms. Additionally, when using a portion of the Service, youagree to conform to any applicable posted guidelines for such Service, whichmay change or be updated from time to time at DEAL ONLINE’s sole discretion.You understand and agree that you are solely responsible for reviewing theseTerms from time to time. Should you object to any term or condition of theseTerms, any guideline, or any subsequent changes thereto or become unhappy with DEALONLINE or the Service in any way, your only choice is to immediatelydiscontinue the use of DEAL ONLINE. These Terms may be updated by DEAL ONLINEat any time at its sole discretion. DEAL ONLINE may send you notices of changesto the Platform or the Terms pursuant to Section xxi (I) herein. DEAL ONLINEmay provide a translation of the English version of the Terms into otherlanguages. You understand and agree that any translation of the Terms intoother languages is for your convenience only and that the English versiongoverns the terms of your relationship with DEAL ONLINE. Furthermore, if thereare any inconsistencies between the English version of the Terms and any translation,the English version of the Terms shall govern.

II. DESCRIPTION OF SERVICE AND CONTENT POLICY

I. DEAL ONLINE is the nextgeneration of online classifieds. We act as a venue to allow our users whocomply with these Terms to offer, sell, and buy products and services listed onthe Platform. Although you may be able to conduct payment and othertransactions through the Platform, using third-party vendors such as DEAL ONLINEis not in any way involved in such transactions. As a result, and as discussedin more detail in these Terms, you hereby acknowledge and agree that DEALONLINE is not a party to such transactions, has no control over any element ofsuch transactions, and shall have no liability to any party in connection withsuch transactions. You use the Service and the Platform at your own risk. II.You understand that DEAL ONLINE does not control, and is not responsible forads, directory information, business listings/information, messages betweenusers, including without limitation e-mails sent from outside DEAL ONLINE’sdomain or other means of electronic communication, whether through the Platformor another Third Party Website (defined below) or offerings, comments, userpostings, files, images, photos, video, sounds, business listings/informationand directory information or any other material made available through thePlatform and the Service ("Content"), and that by using the Platformand the Service, you may be exposed to Content that is offensive, indecent,inaccurate, misleading, or otherwise objectionable. You acknowledge and agreethat you are responsible for and must evaluate, and bear all risks associatedwith, the use of any Content, that you may not rely on said Content, and thatunder no circumstances will DEAL ONLINE be liable in any way for the Content orfor any loss or damage of any kind incurred as a result of the browsing, usingor reading any Content listed, emailed or otherwise made available via theService. You acknowledge and agree that DEAL ONLINE cannot and does notpre-screen or approve any Content, but that DEAL ONLINE has the right, in itssole and absolute discretion, to refuse, delete or move any Content that is ormay be available through the Service, for violating these Terms and suchviolation being brought to DEAL ONLINE’s knowledge or for any other reason orno reason at all. Furthermore, the Platform and Content available through thePlatform may contain links to other third-party websites ("Third PartyWebsites"), which are completely unrelated to DEAL ONLINE. If you link toThird Party Websites, you may be subject to those Third Party Websites’ termsand conditions and other policies. DEAL ONLINE makes no representation orguarantee as to the accuracy or authenticity of the information contained inany such Third Party Website, and your linking to any other websites iscompletely at your own risk and DEAL ONLINE disclaims all liability thereto.III. You acknowledge and agree that you are solely responsible for your ownContent posted on, transmitted through, or linked from the Service and theconsequences of posting, transmitting, linking, or publishing it. Morespecifically, you are solely responsible for all Content that you upload,email, or otherwise make available via the Service. In connection with suchContent posted on, transmitted through, or linked from the Service by you, youaffirm, acknowledge, represent, warrant and covenant that: (i) you own or haveand shall continue to, for such time the Content is available on the Platform,have the necessary licenses, rights, consents, and permissions to use suchContent on the Service and Platform (including without limitation all patent,trademark, trade secret, copyright or other proprietary rights in and to anyand all such Content) and authorize DEAL ONLINE to use such Content to enableinclusion and use of the Content in the manner contemplated by the Service, thePlatform and these Terms; and (ii) you have the written consent, release,and/or permission of each and every identifiable individual person or businessin the Content to use the name or likeness of each and every such identifiableindividual person or business to enable inclusion and use of the Content in themanner contemplated by the Service, the Platform and these Terms. For clarity,you retain all of your ownership rights in your Content; however, by submittingany Content on the Platform, you hereby grant to DEAL ONLINE an irrevocable,non-cancellable, perpetual, worldwide, non-exclusive, royalty-free,sub-licensable, transferable license to use, reproduce, distribute, preparederivative works of, display, and perform the Content in connection with thePlatform and DEAL ONLINE's (and its successor's) business, including withoutlimitation for the purpose of promoting and redistributing part or all of thePlatform and Content therein (and derivative works thereof) in any mediaformats and through any media channels now or hereafter known. These rights arerequired by DEAL ONLINE in order to host and display your Content. Furthermore,by you posting Content to any public area of the Service, you agree to and dohereby grant to DEAL ONLINE all rights necessary to prohibit or allow anysubsequent aggregation, display, copying, duplication, reproduction, orexploitation of the Content on the Service or Platform by any party for anypurpose. As a part of the Service, DEAL ONLINE may offer the facility ofautomatically capturing the "Description" of your ad based on theimages uploaded by you. DEAL ONLINE makes no warranty on the veracity or theaccuracy of the generated Description. The Description may be edited by you atany time while your ad is live. You also hereby grant each user of the Platform(a) a non-exclusive license to access your Content through the Platform, and(b) the right to contact you with regard to the Content posted by you throughprivate chat or any other means. The foregoing license to each user granted byyou terminates once you or DEAL ONLINE remove or delete such Content from thePlatform. Further, you grant DEAL ONLINE the right to make available yourContent to any third party in connection with the transaction contemplated inyour classified advertisement. IV. DEAL ONLINE does not endorse any Content orany opinion, statement, recommendation, or advice expressed therein, and DEALONLINE expressly disclaims any and all liability in connection with UserContent. DEAL ONLINE does not permit copyright infringing activities andinfringement of intellectual property rights on the Platform, and DEAL ONLINEmay, at its sole discretion, remove any infringing Content if properly notifiedin accordance with applicable law that such Content infringes on another'sintellectual property rights. DEAL ONLINE reserves the right to remove any Contentwithout prior notice. DEAL ONLINE may also terminate a user's access to thePlatform if they are determined to be a repeat infringer or found to beindulging in any act contrary to these Terms. A repeat infringer is a user whohas been notified of infringing activity more than twice and/or has had a usersubmission removed from the Platform more than twice. Further, at its solediscretion, DEAL ONLINE reserves the right to decide whether any Content isappropriate and complies with these Terms.

III. CONDUCT

You agree not to post, email,host, display, upload, modify, publish, transmit, store, update or share anyinformation on the Site, or otherwise make available Content:i.that violatesany law or regulation; ii. that is copyrighted or patented, protected by tradesecret or trademark, or otherwise subject to third-party proprietary rights,including privacy and publicity rights unless you are the owner of such rightsor have permission or a license from their rightful owner to post the material andto grant DEAL ONLINE all of the license rights granted herein; iii. thatinfringes any of the foregoing intellectual property rights of any party, or isContent that you do not have a right to make available under any law,regulation, contractual or fiduciary relationship(s); iv. that is harmful,abusive, unlawful, threatening, harassing, blasphemous, defamatory, obscene,pornographic, paedophilic, libelous, invasive of another's privacy or otherrights, including bodily privacy, insulting or harassing on the basis ofgender, hateful, or racially, ethnically objectionable, disparaging, relatingor encouraging money laundering or gambling or harms or could harm minors inany way promoting enmity between different groups on the grounds of religion orcaste with the intent to incite violence or otherwise unlawful in any mannerwhatsoever or otherwise inconsistent with or contrary to the laws in force; v.that harasses degrades intimidates, or is hateful towards any individual orgroup of individuals on the basis of religion, gender, sexual orientation,race, ethnicity, age, or disability; vi. that violates any (local) equalemployment laws, including but not limited to those prohibiting the stating, inany advertisement for employment, a preference or requirement based on race,color, religion, sex, national origin, age, or disability of the applicant.vii. that threatens the unity, integrity, defense, security, or sovereignty ofIndia, friendly relations with foreign states, or public order or causes incitementto the commission of any cognizable offense or prevents investigation of anyoffense or is insulting any other nation; viii. that includes personal oridentifying information about another person without that person's explicitconsent; ix. that impersonates any person or entity, including, but not limitedto, an DEAL ONLINE employee, or falsely states or otherwise misrepresents anaffiliation with a person or entity; x. deceives or misleads the addresseeabout the origin of such messages or communicates any information which isgrossly offensive or menacing in nature; xi. that is false, deceptive,misleading, deceitful, misinformative, or constitutes a "bait andswitch" offer; xii. that constitutes or contains "pyramidschemes," "affiliate marketing," "link referral code,""junk mail," "spam," "chain letters," orunsolicited advertisements of a commercial nature; xiii. that constitutes orcontains any form of advertising or solicitation if (1) posted in areas orcategories of the Platform which are not designated for such purposes; or (2)e-mailed to DEAL ONLINE users who have requested not to be contacted aboutother services, products or commercial interests; xiv. that includes links tocommercial services or Third Party Websites, except as specifically allowed by DEALONLINE; xv. that advertises any illegal services or the sale of any items thesale of which is prohibited or restricted by applicable law, including withoutlimitation items the sale of which is prohibited or regulated by applicable law;xvi. that contains software viruses or any other computer code, files orprograms designed to interrupt, destroy or limit the functionality of anycomputer software or hardware or telecommunications equipment, or any othercomputer resource; xvii. that disrupts the normal flow of dialogue with anexcessive number of messages (flooding attack) to the Service, or thatotherwise negatively affects other users' ability to use the Service; or xviii.that employs misleading email addresses, forged headers, or otherwisemanipulated identifiers in order to disguise the origin of Content transmittedthrough the Service. xix. that belongs to another person and to which you donot have any right; xx. that is harmful to the child; xxi. that deceives ormisleads the addressee about the origin of the message or knowingly andintentionally communicates any information which is patently false ormisleading in nature but may reasonably be perceived as a fact; Additionally,you agree not to: xxii. contact anyone who has asked not to be contacted, ormakes unsolicited contact with anyone for any commercial purpose, specifically,contact any user to post an advertisement on a third-party website or post anyadvertisement on behalf of such user; or to "stalk" or otherwiseharass anyone; xxiii. make any libelous or defamatory comments or postings toor against anyone; xxiv. collect personal data about other users or entitiesfor commercial or unlawful purposes; xxv. use automated means, includingspiders, robots, crawlers, data mining tools, or the like to download or scrapedata from the Service, except for internet search engines (e.g, Google) andnon-commercial public archives (e.g. archive.org) that comply with ourrobots.txt file; xxvi. post Content that is outside the local area or notrelevant to the local area, repeatedly post the same or similar Content, orotherwise impose unreasonable or disproportionately large loads on our serversand other infrastructure; xxvii. post the same item or service in multipleclassified categories or forums, or in multiple metropolitan areas; xxviii.attempt to gain unauthorized access to computer systems owned or controlled by DEALONLINE or engage in any activity that disrupts, diminishes the quality of,interferes with the performance of, or impairs the functionality of, theService or the Platform. xxix. use any form of automated device or computerprogram (sometimes referred to as "flagging tools") that enables theuse of DEAL ONLINE's "flagging system" or other community control systemswithout each flag being manually entered by a human that initiates the flag (an"automated flagging device"), or use any such flagging tool to removeposts of competitors, other third parties or to remove posts without areasonable good faith belief that the post being flagged violates these Termsor any applicable law or regulation. xxx. use any automated device or softwarethat enables the submission of automatic postings on DEAL ONLINE without humanintervention or authorship (an "automated posting device"), includingwithout limitation, the use of any such automated posting device in connectionwith bulk postings, or for automatic submission of postings at certain times orintervals; or xxxi. Any Content uploaded by you shall be subject to relevantlaws and may be disabled, or may be subject to investigation under appropriatelaws. Furthermore, if you are found to be in non-compliance with the laws andregulations, these terms, or the privacy policy of the Site, we may terminateyour account/block your access to the Site and we reserve the right to removeany non-compliant Content uploaded by you.

IV. PAID SERVICES

We may charge a fee to postcontent in or utilize some areas of the Service (“Paid Services”). DEAL ONLINEhas authorized DEAL ONLINE India Private Limited, an Indian company (CIN:U74900HR2009PTC053732) to have its registered office on the 12th Floor, TowerB, Udyog Vihar, DLF Cyber Park, Phase 3, Sector 20, Gurugram, Haryana, 122008.(“DEAL ONLINE India” or “we” or “us”) to sell such Paid Services to its users.By posting Paid Services on the Website you enter into an agreement with DEALONLINE India, the terms of which are set out herein. Provisions of the Termsrelating to the Content shall also be applicable to Paid Services. Further, youcontinue to be bound by the Terms in connection with your use of the Websiteand the Services. Currently, we offer the following kinds of features for PaidServices. Only some of these features may be made available to you by us,depending on your usage, category, geographical location, and medium ofpurchase. The terms of Paid Services and the relationship between you and DEALONLINE India shall be governed by the laws of India. Any claim you may haveagainst DEAL ONLINE India must be submitted to the exclusive jurisdiction ofthe courts of New Delhi. We reserve the right to modify the price at whichthese features are made available to you:

· Featured Ads

Featured Ads is a feature thatenables the display of your advertisement in a designated area of the Websiteand/or in a highlighted manner (depending on the platform the content is beingviewed), so as to distinguish it from other content posted on the Website. Inthe designated area of the Website pertaining to Featured Ads, Features Ads arelisted in a sequential manner. Therefore, it is possible that a particularFeatured Ad is not visible to you each time you browse through the Website.This feature has been provided to enable users to draw attention to their advertisementsand increase the likelihood of receiving responses from potential buyers. We donot guarantee an increase of a specified quantum in the responses received byyou and any representation on the Website in this regard is merely indicative.The duration for which your Ad will be displayed as a Featured Ad shall be thenumber of days specified at the time of purchasing the feature or 30 days fromthe original date of posting the Content on the Website, whichever is earlier.There is no limit on the volume of Featured Ads you may post on the Website.You can purchase a single Featured ad or can avail bulk packages (“Featured adspackage”) based on your requirement and such packages may be provided to you ata discounted price as mentioned on the Website. DEAL ONLINE reserves the rightto limit the extent and manner in which Featured Ads may be edited by you.

·  Boostto Top

Boost to Top is a feature thatbumps your advertisement to the top of the listing space in the city-specificcategory in which the advertisement has been posted. Your ad will remain inthat spot until new advertisements are posted in that category, at which pointit will move down accordingly in the listing space. This feature has beenprovided to enable users to draw attention to their live advertisements andincrease the likelihood of receiving responses from potential buyers. We do notguarantee an increase of a specified quantum in the responses received by youand any representation on the Website in this regard is merely indicative.Boost to Top can be availed for an already posted ad, however, it does notincrease the validity of an ad which currently 30 days from the posting date.

·  AutoBoost

Auto Boost is a feature similarto our “Boost to Top” feature (refer above) that bumps your advertisement tothe top of the listing space in the city-specific category in which theadvertisement has been posted, just that Auto Boost does this automatically atdefined intervals. DEAL ONLINE India shall have the sole discretion to determinethe frequency of such intervals for bumping of the advertisement that maydiffer across categories, usage, and geographical location. This feature hasbeen provided to enable users to draw attention to their live advertisementsand increase the likelihood of receiving responses from potential buyers – allon a continuing basis with the convenience of our systems boosting youradvertisement on top, during its validity, at a defined periodicity. We do notguarantee an increase of a specified quantum in the responses received by youand any representation on the Website in this regard is merely indicative. AutoBoost can be availed for an already posted ad, however, it does not increasethe validity of an ad which currently is 30 days from the posting date.

·  PaidAds

The paid ad isa feature, which enables you to post ads even after you have exhausted yourfree limits in a category. Free limit defines the number of advertisements thatyou can post for free in each category within a defined periodicity and thislimit may differ across categories, usage, and geographical location. Forinstance, if you have posted 3 advertisements in a category in the last 30 daysand the free limit is 3 advertisements per month for such a category, you willnot be allowed to post a free advertisement after you have posted your thirdadvertisement. All advertisements posted by you through your account will becounted towards free limits. Any subsequent change of phone number afterposting an ad, will not affect the available limits. You can either purchase asingle Paid ad or can avail of bulk packages (“Paid ads package”) based on yourrequirement which shall be provided to you at a discounted price as mentionedon the Website. The validity of Paid ads:

·  Limited Paid ads package – In the LimitedPaid ads package, you can post a limited number of ads during the validity ofthe package. Paid ads in this package shall each be valid for 30 days from thedate of posting regardless of when it is posted by you during the life of theLimited Paid ads package.

·  Unlimited Paid ads package – In the UnlimitedPaid ads package, you can post unlimited ads during the validity of thepackage. Regardless of when you post an advertisement during the life of thepackage, the advertisement will only remain valid during the validity of thepackage.

Payment for Paid Services

Upon selecting any feature ofPaid Services, you may be redirected to a third-party payment processing sitesuch as PayU offering payment through various channels such as net banking,debit card and credit card (“Payment Gateway”). DEAL ONLINE may offer you aright to pay through cash or other channels such as cash collection. You agreethat Paid Services will be made available to you only upon receipt of paymentconfirmation from the Payment Gateway or collection agencies. Upon makingpayment to us, through any medium whatsoever, you warrant to us that you areentitled to use the medium or otherwise make the payment to us under applicablelaw. You have the ability to provide us your Goods and Services TaxIdentification Number (GSTIN) on the platform. Your GSTIN details are mandatoryfor passing on the credit of GST charged. In case you fail to provide us withyour GSTIN details, we will assume that you are not registered with the GSTauthorities, without independently verifying your registration status. Unlessotherwise mentioned on the Website, prices indicated are inclusive ofapplicable taxes.

Refunds/Cancellation

If you choose to delete ordeactivate any Paid Services prior to the period for which it is active, wewill not be liable to refund you for any unutilized time. In the event you arenot able to avail of the Paid Services on the Website on account of anytechnical reasons, on receipt of payment confirmation, equivalent units of thepaid feature against the ad units you were not able to post shall be creditedto your account. For example, if you buy a package of 3 Featured Ad units outof which you have consumed only 2 units and were unable to post the remaining 1ad unit as a Featured Ad on account of a technical glitch during the lifetimeof the package validity, you will be credited only 1 unit of Featured Ad toyour account. The above refund policy shall not be applicable in the event anycontent in your advertisement is found to be violating the Terms or there hasbeen any abuse reported in relation to your advertisement or your advertisementis deleted or not re-posted on the Website on account of any technical reasonsdue to any subsequent editing done by you.

V. POSTING AGENTS

As used herein, the term"Posting Agent" refers to a third-party agent, service, orintermediary that offers to post Content to the Service on behalf of others. DEALONLINE prohibits the use of Posting Agents, directly or indirectly, without theexpress written permission of DEAL ONLINE. In addition, Posting Agents are notpermitted to post Content on behalf of others, directly or indirectly, orotherwise access the Service in order to post Content on behalf of others,except with express written permission or license from DEAL ONLINE.

VI. ACCESS TO THE SERVICE

DEAL ONLINE grants you alimited, revocable, non-exclusive license to access and use the Service forpersonal use. This license granted herein does not include any of thefollowing: (a) access to or use of the Service by Posting Agents; or (b) anycollection, aggregation, copying, duplication, display, or derivative use ofthe Service nor any use of data mining, robots, spiders, or similar datagathering and extraction tools for any purpose unless expressly permitted by DEALONLINE or as otherwise set forth in these Terms. Notwithstanding the foregoing,general purpose internet search engines and non-commercial public archives thatgather information for the sole purpose of displaying hyperlinks to theService, provided they each do so from a stable IP address or range of IPaddresses using an easily identifiable agent and comply with our robots.txtfile, may engage in the activities set forth in (b). For purposes of thisexception, a "general purpose internet search engine" does notinclude a website or search engine or other services that specializes inclassified listings including any subset of classifieds listings such ashousing, for sale, jobs, services, or personals, or which otherwise providesclassified ad listing services. The license set forth in this Section permitsyou to display on your website, or create a hyperlink thereto, individualpostings on the Service so long as such use is for non-commercial and/or newsreporting purposes only (e.g., for use in personal blogs or other personalonline media). If the total number of such postings displayed on or linked toyour website exceeds limits set by DEAL ONLINE, your use will be considered tobe in violation of these Terms, unless DEAL ONLINE expressly grants youpermission otherwise. You are also permitted to create a hyperlink to the homepage of the Platform so long as the link does not portray DEAL ONLINE, itsemployees, affiliates, or agents in a false, confusing, misleading, derogatory,or otherwise offensive matter. Use of the Service beyond the scope ofauthorized access as set forth in these Terms immediately terminates anypermission or license granted herein. In order to collect, aggregate, copy,duplicate, display or make derivative use of the Service or any Content madeavailable via the Service for other purposes (including commercial purposes)not stated herein, you must first obtain a license from DEAL ONLINE.

VII. NOTIFICATION OF CLAIMS OF INFRINGEMENTS

DEAL ONLINE is not liable forany infringement of intellectual property rights arising out of materialsposted on or transmitted through the site, or items advertised on the site, byend-users, or any other third parties.If you are an owner of intellectualproperty rights or an agent who is fully authorized to act on behalf of theowner of intellectual property rights and believe that any Content or othercontent infringes upon your intellectual property right or intellectualproperty right of the owner on whose behalf you are authorized to act, you maysubmit a notification to DEAL ONLINE together with a request to DEAL ONLINE todelete the relevant Content in good faith in the claims of infringement formavailable [link] In case you are an owner of an Intellectual Property and wantto specifically report about any counterfeit goods on our Platform please referto our DEAL ONLINE Group Counterfeit Policy as available [link]

VIII. INTELLECTUAL PROPERTY RIGHTS

You acknowledge and agree thatthe materials on the Platform, other than the User Content that you licensedunder Section ii(C) of the Terms, including without limitation, the text,software, scripts, graphics, photos, sounds, music, videos, interactivefeatures and the like ("Materials") and the trademarks, service marksand logos contained therein ("Marks"), are owned by or licensed to DEALONLINE, and are subject to copyright and other intellectual property rightsunder Dutch laws, foreign laws and international treaties and/or conventions.In connection with the Services, the Platform may display certain trademarksbelonging to third parties. Use of these trademarks may be subject to thelicense granted by third parties to DEAL ONLINE. IX. USER SUBMISSIONES

You understand that when usingthe Platform, you will be exposed to Content from a variety of sources and thatDEAL ONLINE is not responsible for the accuracy, usefulness, safety, orintellectual property rights of or relating to such Content, and you agree andassume all liability for your use. You further understand and acknowledge thatyou may be exposed to Content that is inaccurate, offensive, indecent, orobjectionable, defamatory, or libelous and you agree to waive, and hereby dowaive, any legal or equitable rights or remedies you have or may have against DEALONLINE with respect thereto.

X. INDEMNITY

You agree to defend, indemnifyand hold harmless DEAL ONLINE, its officers, subsidiaries, affiliates,successors, assigns, directors, officers, agents, service providers, suppliers,and employees, from and against any and all claims, damages, obligations,losses, liabilities, costs or debt, and expenses (including but not limited toattorneys' fees) arising from (i) your use of and access to the Platform and/orthe Service; (ii) your violation of any term of these Terms; (iii) your violationof any third party right, including without limitation any copyright,trademark, trade secret or other property, or privacy right; or (iv) any claimthat your Content caused damage to a third party. This defense andindemnification obligation will survive termination, modification, orexpiration of these Terms and your use of the Service and the Platform.

XI. NO SPAM POLICY

You understand and agree thatsending unsolicited email advertisements or other unsolicited communications toDEAL ONLINE email addresses or through DEAL ONLINE computer systems isexpressly prohibited by these Terms. You acknowledge and agree that from timeto time DEAL ONLINE may monitor email usage using human monitors or automatedsoftware to flag certain words associated with spam or scams in emails that aresent between one user to another in the DEAL ONLINE email system. Anycommunication between yourself and any other user utilizing the communicationfeatures available on the Service and the Platform may be used only in accordancewith the Terms. Any unauthorized use of DEAL ONLINE computer systems is aviolation of these Terms and certain applicable laws. Such violations maysubject the sender and his or her agents to civil and criminal penalties.

XII. DEALINGS WITH ORGANIZATIONS AND INDIVIDUALS

You acknowledge and agree that DEALONLINE shall not be liable for your interactions with any organizations and/orindividuals on the Platform or through the Service. This includes, but is notlimited to, payment and delivery of goods and services, and any other terms,conditions, warranties, or representations associated with any interaction youmay have with other organizations and/or individuals. These dealings are solelybetween you and such organizations and/or individuals. You agree andacknowledge that DEAL ONLINE shall not be responsible or liable for any loss ordamage of any sort incurred as the result of any such dealings or interactions.If there is a dispute between participants on the Platform, or between users andany third party, you understand and agree that DEAL ONLINE is under noobligation to become involved in such dispute. In the event that you have adispute with one or more other users, you hereby release DEAL ONLINE, itsofficers, employees, agents, and successors from any and all claims, demands,and damages (actual and consequential) of every kind or nature, known orunknown, suspected and unsuspected, disclosed and undisclosed, arising out ofor in any way related to such disputes and/or our Service.

XIII. LIMITATION AND TERMINATION OF SERVICE

You acknowledge and agree that DEALONLINE may establish limits from time to time concerning the use of theService, including among others, the maximum number of days that Content willbe maintained or retained by the Service, the maximum number and size ofpostings, e-mail messages, or other Content that may be transmitted or storedby the Service, and the frequency and the manner in which you may access theService or the Platform. You acknowledge that your account is identified andlinked through your mobile number, Facebook account, or email address throughwhich you have registered. In the event you have more than one account linkedthrough your mobile number, Facebook account, or email address, DEAL ONLINEreserves the right to remove or restrict the usage of such duplicate accounts.You acknowledge and agree that DEAL ONLINE has no responsibility or liabilityfor the deletion or failure to store any Content maintained or transmitted bythe Platform or the Service. You acknowledge and agree that DEAL ONLINEreserves the right at any time to modify, limit or discontinue the Service (orany part thereof) with or without notice and that DEAL ONLINE shall not beliable to you or to any third party for any such modification, suspension ordiscontinuance of the Service. You acknowledge and agree that DEAL ONLINE, inits sole and absolute discretion, has the right (but not the obligation) todelete or deactivate your account, block your e-mail or IP address, orotherwise terminate your access to or use of the Service (or any part thereof),immediately and without notice, and remove and discard any Content within theService, for any reason or no reason at all, including, without limitation, if DEALONLINE believes that you have violated these Terms. Further, you agree that DEALONLINE shall not be liable to you or any third-party for any termination ofyour access to the Platform or the Service. Further, you agree not to attemptto use the Service after any such termination.

SUCH LIMITATION OF LIABILITY SHALL ALSO APPLY WITH RESPECT TO DAMAGESINCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISEDIN CONNECTION WITH THE PLATFORM OR THE SERVICE OR ANY LINKS ON THE PLATFORM, ASWELL AS BY REASON OF ANY INFORMATION, OPINIONS OR ADVICE RECEIVED THROUGH ORADVERTISED IN CONNECTION WITH THE PLATFORM OR THE SERVICE OR ANY LINKS ON THE DEALONLINE SITE. YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT DEAL ONLINE SHALL NOT BELIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OFANY USER OR THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOINGRESTS ENTIRELY WITH YOU.

THEPLATFORM IS CONTROLLED AND OFFERED BY DEAL ONLINE. DEAL ONLINE MAKES NOREPRESENTATIONS OR WARRANTIES THAT THE PLATFORM IS APPROPRIATE FOR USE IN OTHERLOCATIONS. THOSE WHO ACCESS OR USE THE PLATFORM FROM OTHER JURISDICTIONS DO SOAT THEIR OWN VOLITION AND RISK AND ARE RESPONSIBLE FOR COMPLIANCE WITH LOCALLAW.

XVI. ASSIGNMENT

These Terms, and any rights andlicenses granted hereunder, may not be transferred or assigned by you but maybe assigned by DEAL ONLINE without restriction. Any assignment or transfer byyou shall be null and void.

XVII. ABILITY TO ACCEPT TERMS OF SERVICE

This Platform is intended onlyfor adults and that you are eligible to contract as per applicable laws. If youare using/accessing this Platform as a representative of any person/entity, youacknowledge that you are legally authorized to represent that person/entity.Minors, i.e. users under 18 years of age, are only allowed to access thePlatform and use the Service, in the event of approval of their legalrepresentatives or in the event that it concerns an act or a transaction thatis a usual and acceptable standard in civil life and practice. You affirm thatyou are either at least 18 years of age, or an emancipated minor, or possesslegal parental or guardian consent and are fully able and competent to enterinto the terms, conditions, obligations, affirmations, representations, andwarranties set forth in these Terms, and to abide by and comply with theseTerms. In any case, you affirm that you are over the age of 13, as the Platformis not intended for children under 13. NOTICE TO CHILDREN UNDER THE AGE OF 13AND THEIR PARENTS OR GUARDIANS If you are under the age of 13, YOU MUST NOT USETHIS PLATFORM. Please do not send us your personal information, including youremail addresses, name, and/or contact information. If you want to contact us,you may only do so through your parent or legal guardian.

XVIII GENERAL INFORMATION

These Terms and the otherpolicies posted on the Platform constitute the complete and exclusiveunderstanding and agreement between you and DEAL ONLINE and govern your use ofthe Service and the Platform superseding all prior understandings, proposals, agreements,negotiations, and discussions between the parties, whether written or oral. TheTerms and the relationship between you and DEAL ONLINE shall be governed by thelaws of the Netherlands. Any claim you may have against DEAL ONLINE must besubmitted to the exclusive jurisdiction of the courts of Amsterdam, TheNetherlands. However, in the event that you are a consumer, it may be thatconsumer law requires that another law is applicable and that a claim may besubmitted to another jurisdiction. The failure of DEAL ONLINE to exercise orenforce any right or provision of the Terms shall not constitute a waiver ofsuch right or provision. If any provision of the Terms is found by a court ofcompetent jurisdiction to be invalid (including, without limitation, becausesuch provision is inconsistent with the laws of another jurisdiction) orinapplicable, the parties nevertheless agree that the court should endeavor togive effect to the parties' intentions as reflected in the provision. If anyprovision or provisions of these Terms is held to be invalid, illegal, orunenforceable, the validity, legality, and enforceability of the remainingprovisions of the Terms shall not in any way be affected or be impaired. YOUAGREE THAT ANY CAUSE OF ACTION BROUGHT BY YOU AND ARISING OUT OF OR RELATED TOYOUR USE OF THE SERVICE AND/OR THE PLATFORM MUST COMMENCE WITHIN A REASONABLETIME AND IN ANY EVENT WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES,EXCEPT THAT DEAL ONLINE MAY COMMENCE ANY SUCH CAUSE OF ACTION IN ACCORDANCEWITH THE APPLICABLE STATUTE OF LIMITATIONS UNDER DUTCH LAW. OTHERWISE, SUCHCAUSE OF ACTION IS PERMANENTLY BARRED. These Terms shall inure to the benefitof and be binding upon each party's successors and assigns.

XIX. VIOLATION OF TERMS AND LIQUIDATED DAMAGES

Please report any violations ofthe Terms that you become aware of by contacting us using the link at thebottom of the DEAL ONLINE homepage at WWW.DEAL ONLINE.in. Any failure to act byDEAL ONLINE with respect to a breach by you or others does not waive our rightto act with respect to subsequent or similar breaches by you or others. Youunderstand and agree that, because damages are often difficult or impossible toquantify, if actual damages cannot be reasonably calculated then you will beliable to pay DEAL ONLINE the following as liquidated damages (and not apenalty): I. If DEAL ONLINE establishes any limits on the frequency with whichyou may access the Service, or terminates your access to or use of the Service,you agree to pay DEAL ONLINE ninety-nine euros (€99) for (i) each messageposted in excess of such limits or (ii) for each day on which you access DEALONLINE in excess of such limits, whichever is higher. II. If you are a PostingAgent that uses the Service in violation of these Terms, in addition to anyliquidated damages under Section xx(e) below you agree to pay DEAL ONLINEninety-nine euros (€99) for each and every item you post in violation of theseTerms. A Posting Agent will also be deemed an agent of the party engaging thePosting Agent to access the Service, and such party (by engaging the PostingAgent in violation of these Terms) agrees to pay DEAL ONLINE an additionalninety-nine euros (€99) for each item posted by the Posting Agent on behalf ofsuch party in violation of these Terms. III. If you use DEAL ONLINE e-mailaddresses or computer systems to send unsolicited e-mail advertisements to DEALONLINE e-mail addresses or any other party, you agree to pay DEAL ONLINE thirtyeuros (€30) for each such e-mail. IV. If you post messages in violation ofthese Terms, other than as described above, you agree to pay DEAL ONLINEninety-nine euros (€99) for each such message. Notwithstanding the foregoing, DEALONLINE may, in its sole and absolute discretion, issue a warning beforeassessing damages pursuant to this Section xx(e). V. If you aggregate, copy,display, mirror, reproduce, or otherwise exploit for any purpose any Content(except for your own Content) in violation of these Terms without DEAL ONLINE'sexpress written permission, you agree to pay DEAL ONLINE ten thousand euros(€10,000) for each day on which you engage in such conduct. VI. If none of theforegoing clauses (a) – (f) are applicable, you agree to pay DEAL ONLINE’s actualdamages, to the extent such actual damages can be reasonably calculated.Notwithstanding any other provision of these Terms, DEAL ONLINE retains theright to seek equitable remedies, including without limitation, specificperformance of any term contained in these Terms, or a preliminary or permanentinjunction against the breach or threatened breach of any such term or in aidof the exercise of any power granted in these Terms, or any combinationthereof, without the necessity of posting a bond.

XX. PRIVACY POLICY

A. Indian standards / Personal Data Protection Act

DEAL ONLINE is responsible forthe collection, use, and retention of personal information in the sense of theIndian Personal Data Protection Act and thus in accordance with Indian standards.

B. Type of Information Collected:

When you visit the Platform, wemay collect certain non-personal information such as your Internet Protocol("IP") address, operating system, browser type, and Internet serviceprovider. This type of information does not identify you personally. Further, if you have provided your phone number andposted an advertisement using your account, you agree to receive communicationson the provided phone number from our site which may include but not be limitedto automated calls or text messages. The communication may require you toconfirm and verify that your account has been used to post the relevantadvertisement on the Platform. We may also collect additional information thatour users provide, such as new or deleted postings, new or deleted comments,keyword searches, scam reports, and new contact sellers. We use a third-partypayment gateway for purchases, and other third-party companies to monitor sitetraffic, which may, in some instances, store your information (see Sectionxxi(D) below). By using this Platform or the Service, you consent to thecollection, storage, and use of the personal information you provide for any ofthe services that we offer, and you consent to our collection of any changes orupdates that you may provide to any information you provide that is collectedby DEAL ONLINE. By using this Platform, you consent to share your geolocationdata in order to publish information/advertisements of advertisements offeredby users close to your location and vice-versa.

DEAL ONLINE mayalso offer for free or for a fee, deliverables produced by third-party serviceproviders in furtherance of any services that you may have availed from thesethird-party service providers in connection with the advertisement posted onthe Platform, without any obligation (monetary or otherwise) towards you. DEALONLINE shall not be responsible for any service availed by you from such thirdparties or any payment made by you to such third parties in connection with theservices. Any concern or claims in relation to such services should be directedby you to such third parties. If you click on the links to Third-PartyWebsites, you leave the Platform. We are not responsible for the content ofthese Third-Party Websites or for the security of your personal informationwhen you use the Third-Party Websites.
